HAPPY-FM Alexa Skill Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the HAPPY-FM Alexa Skill (“Skill”). The Skill is provided by HAPPY-FM, an Internet radio station based in Asheville, North Carolina (“HAPPY-FM,” “we,” “us,” or “our”).

By enabling, accessing, or using the Skill, you agree to these Terms. If you do not agree with these Terms, you should disable the Skill and discontinue its use.

1. Description of the Skill

The HAPPY-FM Alexa Skill allows users to listen to the HAPPY-FM Internet radio stream through compatible Amazon Alexa-enabled devices and services.

The Skill may provide access to:

Live or prerecorded radio programming
Music and entertainment content
Station identifications and promotional announcements
News, weather, community information, or other announcements
Commercial advertisements and sponsorship messages
Other audio content made available by HAPPY-FM

Programming, features, schedules, on-air personalities, music selections, advertisements, and other content may be changed at any time without notice.

2. Eligibility

You may use the Skill only if you are legally permitted to use Amazon Alexa and the Skill in your location.

If you are under the age of majority where you live, you may use the Skill only with the permission and supervision of a parent or legal guardian.

The Skill is intended for a general audience and is not specifically directed toward children under 13 years of age.

3. Alexa and Amazon Requirements

Your use of the Skill also requires access to a compatible Alexa-enabled device, an Amazon account, an Internet connection, and any other services required by Amazon.

Your use of Alexa and Amazon devices or services is governed by the applicable agreements, policies, and terms established by Amazon.

HAPPY-FM does not control Amazon Alexa, Amazon devices, the Alexa service, or the Alexa Skills Store. Amazon may change, restrict, suspend, or discontinue Alexa features that affect the operation or availability of the Skill.

4. Independent Third-Party Skill

The HAPPY-FM Alexa Skill is independently provided by HAPPY-FM.

HAPPY-FM is not Amazon.com, Inc. and is not affiliated with, endorsed by, sponsored by, or operated by Amazon unless expressly stated otherwise.

Amazon, Alexa, Echo, and all related names, logos, product names, and service names are trademarks or intellectual property of Amazon.com, Inc. or its affiliates.

5. License and Permitted Use

Subject to these Terms, HAPPY-FM grants you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Skill for your own lawful, noncommercial listening purposes.

This license does not transfer ownership of the Skill, the HAPPY-FM broadcast, or any content provided through the Skill.

You may not:

Copy, record, reproduce, rebroadcast, redistribute, or publicly perform the HAPPY-FM stream except as permitted by law
Sell, sublicense, rent, lease, or commercially exploit the Skill or its content
Attempt to reverse engineer, modify, interfere with, or gain unauthorized access to the Skill
Circumvent security measures or access restrictions
Use automated systems to access, monitor, extract, or collect content from the Skill
Use the Skill in a way that violates any law, regulation, intellectual-property right, or third-party right
Misrepresent your relationship with HAPPY-FM
Use HAPPY-FM names, logos, trademarks, or branding without written permission
Disrupt or place an unreasonable burden on the systems used to provide the Skill

6. Music and Third-Party Content

The Skill may provide access to music, recordings, advertisements, syndicated programming, announcements, and other materials owned or licensed by third parties.

All copyrights, trademarks, performance rights, recording rights, and other intellectual-property rights in such material belong to their respective owners.

Access to content through the Skill does not grant you permission to copy, download, distribute, rebroadcast, publicly perform, modify, sell, or otherwise use that content outside the ordinary personal use of the Skill.

Certain songs, programs, advertisements, or other content may not reflect the views or opinions of HAPPY-FM.

7. Advertising and Sponsorships

The HAPPY-FM stream may include commercial advertisements, underwriting messages, sponsorship acknowledgments, promotional announcements, contests, or other marketing content.

The inclusion of an advertisement or sponsorship message does not necessarily constitute an endorsement, guarantee, or recommendation by HAPPY-FM.

Any interaction, transaction, purchase, or agreement between you and an advertiser or sponsor is solely between you and that advertiser or sponsor. HAPPY-FM is not responsible for products, services, claims, websites, transactions, or conduct associated with third-party advertisers.

8. Availability and Service Interruptions

We strive to make the Skill and radio stream available, but continuous or uninterrupted service is not guaranteed.

The Skill or stream may become unavailable because of:

Internet or network outages
Server failures or maintenance
Audio-streaming provider interruptions
Amazon Alexa service interruptions
Device compatibility problems
Licensing or geographic restrictions
Emergency conditions
Changes to programming or technology
Circumstances beyond our reasonable control

HAPPY-FM may modify, suspend, restrict, replace, or discontinue any part of the Skill at any time without notice or liability.

9. Geographic Restrictions

Some programming or content may be unavailable in certain countries, states, territories, or geographic areas because of licensing, legal, technical, or contractual restrictions.

You are responsible for determining whether your use of the Skill is lawful in your location.

10. Emergency Information

The Skill and HAPPY-FM broadcast should not be used as your only source of emergency, safety, medical, weather, evacuation, or public-warning information.

Audio may be delayed, unavailable, incomplete, or interrupted. In an emergency, contact the appropriate emergency services and consult official government or public-safety sources.

Do not rely on the Skill to contact emergency services.

11. Information Accuracy

HAPPY-FM may provide news, weather, traffic, entertainment, community, promotional, or other informational content. We attempt to provide useful information but do not guarantee that all content will be complete, accurate, timely, or suitable for a particular purpose.

Programming and information may be delayed, abbreviated, changed, or provided by third parties.

12. Privacy

Your use of the Skill is also subject to the HAPPY-FM Alexa Skill Privacy Policy, available on the HAPPY-FM website.

Amazon may separately collect and process information related to your Amazon account, Alexa-enabled device, voice interactions, and use of Alexa. Amazon’s collection and use of that information is governed by Amazon’s own privacy notices and policies.

13. Intellectual Property

The Skill and its original components—including the HAPPY-FM name, logos, station imaging, audio production, graphics, written material, software, and branding—are owned by or licensed to HAPPY-FM and are protected by applicable intellectual-property laws.

Nothing in these Terms grants you ownership of or a license to use HAPPY-FM trademarks, logos, branding, station imaging, or other proprietary materials except for the limited personal-use license expressly stated in these Terms.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Skill and all programming, streams, information, and content are provided on an “as is” and “as available” basis.

HAPPY-FM disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, noninfringement, quiet enjoyment, and compatibility.

We do not warrant that:

The Skill will always be available or uninterrupted
The audio stream will be free from delays, errors, or technical problems
The Skill will work with every Alexa-enabled device
All content will be accurate, complete, or current
Defects or interruptions will be corrected
The Skill or systems supporting it will be free from harmful components

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law, HAPPY-FM and its owners, operators, employees, contractors, affiliates, content providers, sponsors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or connected with your use of—or inability to use—the Skill.

This limitation includes damages resulting from:

Loss of data, revenue, business, or profits
Service interruptions or stream outages
Device, network, or Internet problems
Reliance on programming or information
Third-party content or advertisements
Unauthorized access to or alteration of transmissions
The suspension or discontinuation of the Skill

To the extent liability cannot legally be excluded, HAPPY-FM’s total liability arising from your use of the Skill will not exceed the amount you paid directly to HAPPY-FM to use the Skill during the twelve months preceding the claim. When the Skill is provided without charge, the maximum amount will be ten United States dollars.

Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply to you.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HAPPY-FM and its owners, operators, employees, contractors, affiliates, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses—including reasonable legal fees—arising from:

Your unlawful or unauthorized use of the Skill
Your violation of these Terms
Your infringement of another person’s rights
Your misuse, recording, copying, redistribution, or rebroadcasting of content

17. Suspension and Termination

HAPPY-FM may restrict, suspend, or terminate access to the Skill if we reasonably believe that a user has violated these Terms, misused the Skill, interfered with its operation, or created a legal, technical, or security risk.

You may stop using the Skill at any time by disabling it through your Amazon Alexa account or Alexa app.

Sections that by their nature should remain effective after termination—including intellectual-property, warranty, liability, indemnification, and governing-law provisions—will survive termination.

18. Changes to These Terms

We may revise these Terms to reflect changes in the Skill, our operations, Amazon requirements, applicable laws, or industry practices.

The updated version will be posted on the HAPPY-FM website with a revised “Last Updated” date. Your continued use of the Skill after updated Terms become effective constitutes acceptance of those changes.

You should review these Terms periodically.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles.

Unless applicable law requires otherwise, any legal action arising from these Terms or the Skill must be brought in a state or federal court with jurisdiction in Buncombe County, North Carolina. You consent to the jurisdiction and venue of those courts.

20. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the greatest extent permitted by law. The remaining provisions will remain in effect.

21. No Waiver

A failure by HAPPY-FM to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

22. Entire Agreement

These Terms and the HAPPY-FM Alexa Skill Privacy Policy constitute the entire agreement between you and HAPPY-FM regarding your use of the Skill, except where additional written terms expressly apply.
